These terms apply to the engineering services provided by impulse Sàrl, Kleinschönberg 10, 1700 Fribourg. They supplement each fee proposal and the contract arising from it. In the event of any discrepancy, the terms agreed in the signed offer prevail.
Regulatory framework for our services
The rights and obligations of impulse Sàrl are governed by the standards and regulations of the Swiss Society of Engineers and Architects (SIA), in particular SIA 108 for services and fees, SIA 118 for the general conditions applicable to construction work, SIA 2060 for EV charging infrastructure and SIA 2062 for photovoltaic systems. Our services are performed in accordance with recognised professional practice and with the applicable Swiss regulations, in particular the NIV (the Swiss Ordinance on Low-Voltage Electrical Installations).
Scope of the appointment
The appointment covers the phases and services described in the accepted offer, generally structured according to the SIA phase model, from preliminary design through to commissioning. Any service not listed in the offer is subject to prior agreement. Additional services are carried out only once the client has agreed both to the service itself and to the basis on which it is remunerated, and any change to the project is set out in a variation approved by both parties.
Liability
The liability of impulse Sàrl is limited to the services defined in the contract. We accept no liability for modifications that we have not approved, for execution errors attributable to third-party contractors, or for events outside the scope of our appointment. impulse Sàrl holds professional indemnity insurance with a leading Swiss insurer, covering personal injury and property damage up to CHF 10 million per claim.
Fees and time-based services
Fees are stated in the offer, either as an amount per phase or on a time-spent basis at the agreed rates. Any services billed by time are charged at the standard rates for the sector, which are set out in the offer. All services are subject to value added tax (VAT) at the statutory rate in force.
Payment terms
Unless otherwise agreed, each phase is invoiced at the start of that phase and is payable within 15 days. If the project is cancelled or the contract is terminated, the phase in progress is payable in full. Late payment leads to the suspension of our services until the account is settled.
Ancillary costs
Printing and reproduction of drawings, together with any disbursements incurred on behalf of the client, are invoiced separately and against receipts.
Deadlines
Deadlines derive from the design and construction programme approved by all parties. They are adjusted if the brief changes, if the documents we require are provided late, or in the event of circumstances beyond our control.
Representation of the client
Where the offer provides for it, the client authorises impulse Sàrl to sign documents and to conduct correspondence on its behalf within the scope of the engineering services entrusted to us. Any financial commitment remains subject to the client’s prior approval.
Intellectual property
The studies, drawings, schematics, specifications and technical documents produced by impulse Sàrl remain our intellectual property. They are issued to the client for use in connection with the project concerned and may not be reproduced, passed on to third parties or reused for another project without our written consent.
Confidentiality and data protection
Information and documents exchanged in the course of an appointment are treated as confidential. The processing of personal data is described in our privacy policy and meets the requirements of the Swiss Federal Act on Data Protection.
Validity of fee proposals
Each fee proposal states its period of validity. After that date, the terms may be revised, in particular to reflect changes to the brief or to reference costs.
Governing law and jurisdiction
Contractual relations between impulse Sàrl and its clients are governed by Swiss law. The company’s registered office is in Fribourg and the place of jurisdiction is Fribourg, subject to any mandatory places of jurisdiction provided by law.
